Legal Head - Alternative Investment Fund

We are seeking a legal and transaction professional with experience in fund structuring, investment documentation, and deal execution across AIFs, NBFCs, or similar financial institutions.

The role involves managing the end-to-end legal process for fund formation, advising on investment structures, handling regulatory compliance, and supporting credit, M&A, and private equity transactions. Exposure to hybrid deals, structured instruments (NCDs, OCDs, CCDs), and fund-of-funds strategies is preferred.

Roles & Responsibilities:

- Lead legal aspects of fund formation including drafting fund documents, regulatory filings, and coordinating with compliance teams.

- Liaise with regulators and legal advisors to ensure fund structures comply with applicable laws and guidelines.

- Structure and document investment transactions across asset classes, including equity, NCDs, OCDs, and CCDs.

- Advise on legal strategy for credit, M&A, and hybrid transactions (debt + equity), including secondary share purchases.

- Review and negotiate term sheets, shareholder agreements, and investment contracts.

- Coordinate with internal teams and external stakeholders (fund managers, investors, consultants) for smooth deal closure.

- Support IPO exits and other liquidity events by ensuring legal readiness and compliance.

- Play a key role in managing investor communications and fund governance requirements.

- Contribute to risk management, legal due diligence, and portfolio-level decision-making.
